Terms of Service

1. Acceptance of These Terms

By accessing or using any Pulsenox product — including AIDEN, SalesPulse, QuotePulse, IntelPulse, DemoTrack, AccountPulse, VisitPulse, PricePulse, and CarePulse (the "Services") — or by creating an account or clicking to accept, you agree to these Terms of Service (the "Terms"). If you are entering into these Terms on behalf of an organization, you confirm you are authorized to bind that organization. If you do not agree, do not use the Services.

2. Who May Use the Service

The Services are business tools intended for use by organizations and professional users aged 18 or over. By using the Services you confirm that the information you provide is accurate and that you are authorized to use them for your organization.

3. Description of Service & Decision-Support Disclaimer

AIDEN is an AI-powered decision-support tool for electrical, power quality, and thermal diagnostics. It references international standards and generates indicative analysis to assist qualified professionals. AIDEN outputs are not formal engineering assessments, certifications, or instructions. All findings must be independently reviewed and approved by a qualified engineer before any action is taken on equipment. You remain solely responsible for decisions made and actions taken based on the Services.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We may suspend accounts where we reasonably believe security has been compromised.

5. Trials, Subscriptions & Payment

• Free trials last 14 days from account creation. We may modify, suspend, or end trial access at any time.
• Subscriptions are billed in advance according to the plan and pricing published at pulsenox.com/aiden. Plans renew for successive periods unless cancelled before the renewal date.
• Taxes. Prices are exclusive of tax unless stated otherwise. UAE Value Added Tax (VAT) at the prevailing rate (currently 5%) is added where applicable. You are responsible for any other taxes arising from your use of the Services.
• Non-payment. We may suspend or terminate access for overdue amounts. Fees are non-refundable except where required by law.

6. Acceptable Use

You agree not to use the Services to: violate any law or regulation; attempt unauthorized access to our systems or data; overload, disrupt, or abuse the infrastructure; reverse engineer, decompile, or extract the underlying logic, prompts, or models; scrape or extract content using automated tools; resell, sublicense, or white-label the Services without a written agreement; or build a competing product based on our outputs.

7. Intellectual Property

All software, content, design, analysis logic, prompts, models, and methodologies within the Services are and remain the exclusive property of Pulsenox and are protected by copyright, trade secret, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription for your internal business purposes only. You retain ownership of the data and inputs you submit, and you grant us a limited licence to process them to provide the Services.

8. Your Data

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. You are responsible for ensuring you have the right to submit any data you enter into the Services and for not submitting personal, sensitive, or third-party confidential information in analysis prompts unless necessary and authorized.

9. AI Outputs — No Warranty of Accuracy

The Services use artificial intelligence and may produce results that are incomplete, inaccurate, or otherwise erroneous. Outputs are provided for informational and decision-support purposes only, on an "as is" basis, without any warranty of accuracy, completeness, reliability, or fitness for a particular purpose. You must verify all outputs against instrument readings, applicable standards, and qualified engineering judgment before relying on them.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Pulsenox and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Services. In particular, Pulsenox is not liable for any damage, loss, injury, or equipment failure arising from decisions made or actions taken based on AIDEN outputs, which must always be reviewed by a qualified engineer.

To the extent liability cannot be excluded, Pulsenox's total aggregate liability arising out of or relating to the Services is limited to the amount you paid to Pulsenox for the Services in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Pulsenox from and against any claims, losses, and expenses arising from your misuse of the Services, your breach of these Terms, or your violation of any law or third-party right.

13. Confidentiality

Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms, except where disclosure is required by law.

14. Suspension & Termination

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access, with or without notice, if you breach these Terms, fail to pay, or use the Services in a way that risks harm to us, other users, or third parties. On termination, your right to use the Services ends; sections intended to survive (including intellectual property, disclaimers, limitation of liability, and governing law) continue to apply.

15. Changes to the Service & Terms

We may modify or discontinue features of the Services, and we may update these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the jurisdiction of the competent courts of the Emirate of Dubai, unless the parties agree in writing to another forum.

17. General

These Terms, together with the Privacy Policy and any order or plan you subscribe to, constitute the entire agreement between you and Pulsenox regarding the Services. If any provision is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delays or failures caused by events beyond its reasonable control.
